Payment Terms
- Advance: 50% advance payment before work begins, unless otherwise agreed in writing.
- Balance: Remaining payment before final delivery, or as per milestones defined in the proposal / work order.
- Taxes: GST extra wherever applicable, as per Indian law.
- Third-party costs: Ad spend (Google, Meta, etc.), printing, influencer fees, software licences, and production costs are billed separately and payable in advance.
- Overdue invoices: Work may be paused and deliverables withheld for overdue invoices. Invoices are payable within 7 days unless a different credit period is agreed.
- Payment safety: Payments must be made only to the official bank details mentioned on our invoice.
Refund & Cancellation
- Advance payments are non-refundable once work has commenced, except as stated in your proposal.
- On mid-project cancellation, payment is due for all work completed and third-party costs committed till that date.
- Consumed ad spend and fees already paid to third parties (influencers, vendors, printers) are non-refundable.
- Monthly retainers require 30 days’ written notice for cancellation, unless agreed otherwise.
- Approved refunds are processed within 15–30 business days to the original payment method.
Service Conditions
- Scope, deliverables, timelines, and fees for each engagement are defined in a written proposal, quotation, or work order. A signed proposal prevails over this page for that engagement.
- Starting prices shown on the website (e.g., ₹99/Hour, ₹9/Minute) are indicative base rates; final pricing is confirmed in your proposal.
- Each proposal specifies the included revision rounds; additional revisions are billed separately. Deliverables approved in writing, email, or WhatsApp are treated as final.
- Clients must provide accurate information, brand assets, and timely approvals, and ensure their materials do not infringe third-party rights.
- Either party may terminate an engagement with 30 days’ written notice; dues for completed work remain payable.
Intellectual Property
- Your assets stay yours: Clients retain ownership of all brand assets and materials shared with us.
- Deliverables transfer on payment: Ownership of final approved deliverables transfers to the client after full payment.
- Our know-how stays ours: We retain our templates, processes, and working/source files unless specifically agreed and paid for.
- Portfolio rights: We may showcase completed work and client logos in our portfolio and case studies, unless asked in writing not to.
- Third-party assets: Stock images, music, fonts, and software follow their own licence terms.
Confidentiality
Both parties agree to keep all non-public business information shared during an engagement — including strategies, pricing, and data — strictly confidential and to use it only for that engagement. This obligation continues for 2 years after the engagement ends, and does not apply to information that is publicly available or legally required to be disclosed.
Marketing Disclaimer
Marketing and advertising results depend on market conditions, advertising platforms and their algorithms, customer behaviour, competition, budgets, and product quality. While we follow data-driven best practices, Spotix Dynamics does not guarantee specific leads, sales, rankings, reach, or ROI unless expressly agreed in writing. Case studies and past results are illustrative, not a promise of similar outcomes.
Governing Law
- These terms are governed by the laws of India.
- Exclusive jurisdiction: Courts at New Delhi, India.
